Terms and Conditions

SEPARATOR SPARES & EQUIPMENT, LLC GENERAL TERMS AND CONDITIONS OF SALES & SERVICE

  1. Acceptance of Purchaser's order is subject to the terms and conditions herein between Separator Spares Equipment, LLC (hereinafter- called SSE) and the Purchaser/Customer. No modification of these terms shall be made except by written agreement made between SSE and the Purchaser/Customer, and no modification shall be effected by the acknowledgment or acceptance of purchase order forms containing different terms or conditions.
  2. Our quotations are for immediate acceptance and subject to change without notice. In the event of an increase in our vendor's prices, any and all materials and services will be billed at the price in the effect at the time of shipment. 
  3. The Purchaser/Customer agrees to pay for services and equipment in accordance with SSE's terms; net 30 days from the invoice date and payment shall be made in US dollars to SSE's office at 144 Intracoastal Dr Houma, LA 70363 unless otherwise quoted. Interest shall be assessed on all overdue accounts at the rate of 1.5% per month or 18% per year. Purchaser/Customer shall be liable for all legal fees incurred by SSE in the collection of any unpaid account. 
  4. Prices do not include federal, state or local taxes based on or measured by sales. In addition to charges for personnel and equipment, SSE shall, if applicable, make charges for mileage, shipping, transportation, taxes and other special items.
  5. The Purchaser/Customer waives all statuary warranties and the following warranty is made instead. Products manufactured by SSE, LLC are guaranteed against defects in workmanship and material for a period of one year after delivery.  Products that are repaired or refurbished will be guaranteed against defects in workmanship and material for a period of 3 months after delivery. We will replace, without charge, any such products that our examination discloses to be thus defective, provided return or rejection of such product is made within such period.  This warranty only applies if equipment has been properly installed, if the equipment has been utilized for the work for which it was intended and only if the recommendations given by SSE for correct service and maintenance were followed. Defects or damages resulting from improper or inadequate maintenance, unauthorized service or repairs or improper transportation and/or handling will not be covered under this warranty. Product failures due to misuse, wear, corrosion, corrosion fatigue, or stress corrosion cracking are specifically excluded from this warranty. We will not be responsible for the selection of material to resist wear corrosion, corrosion fatigue, stress corrosion cracking or other corrosion oriented failures. SSE shall in no event be responsible for (a) the cost of any work done by Purchaser/Customer or any other party on products furnished hereunder (unless specifically authorized in each instance by us in writing; or (b) any consequential damages, or (c) any transportation or other costs in effecting the return of such products to us and the delivery of such products and/or personnel to the Purchaser/Customer. Wear parts such as belts, torque guard clutches, flanges, wear plates, pump packing, bearing, valves may have limited or no warranty at SSE's discretion. We make no other warranty of any kind, expressed or implied, except that the products sold hereunder shall meet the description on the face hereof. WE DO NOT WARRANT THAT SAID PRODUCTS ARE FIT FOR ANY PARTICULAR USE.
  6. Products manufactured by others and resold by SSE will be guaranteed by that manufacturer's own warranty. Terms of that warranty are available request.
  7. All claims for alleged corrections and defects shall be made in writing and delivered to SSE within 10 days of discovery of any such defect within the applicable warranty period, or these rights are waived. Purchaser/Customer shall afford SSE prompt and reasonable opportunity to inspect goods as to which any claim is made as above stated. SSE reserves the right, in its sole discretion, to remedy in any manner any defect in the goods or to substitute other goods therefore. 
  8. Upon receipt of equipment sent in for inspection, SSE will issue a proposal for complete refurbishment. A nominal fee will be charged to the Purchaser/Customer's Account. The inspection charge is for disassembly, cleaning and labor required for a complete and precise inspection report. The inspection charge will be inclusive in the amount quoted for repairs. In the event the equipment is not refurbished by SSE an inspection fee will be invoiced. After receipt of a formal purchase order the equipment will be shipped back to the return address at the Purchaser/Customer's expense
  9. No alterations or modifications shall be binding unless in writing and signed by SSE in acceptance.
  10. Cancellation of orders placed and accepted can be made only with SSE written consent and upon such terms Purchaser/Customer will reimburse SSE for charges and costs associated with the order such as re-shelving, re-stocking, and a reasonable profit.
  11. All shipments, unless otherwise quoted, are EXW (Ex-Works) SSE, LLC yard in Houma, LA USA. Claims for shortages or damages on transit shall be made by the consignee against the carrier. All freight charges that are pre-paid and added to the invoice will have a 15% handling fee included on the transportation charges.
  12. Sales-Used Equipment: Purchaser/Customer understands that persons other than SSE have used the goods described herein. Purchaser/Customer is warned and acknowledges that any goods which Purchaser/Customer purchases may bear or contain hazardous chemicals or other hazardous materials which may be or may become, by chemical reaction or otherwise, directly or indirectly hazardous to life, health or to property (by reason of toxicity, flammability, explosiveness or for other similar or different reasons during use, handling, cleaning, reconditioning, disposal or at any other time after the article leaves the possession and control of SSE. Purchaser/Customer does hereby discharge SSE from any and all liability directly or indirectly resulting from the presence of the aforesaid chemicals or material, including and not limited to any all liability directly or indirectly resulting from the failure of SSE to five more specific warning with respect to individual articles or substances or from the inadequacy of any warning. 
  13. The goods sold herein may be dangerous if improperly used. The Purchaser/Customer is warned and acknowledges that it must contact the original manufacturer to obtain up-to-date installation and operation manuals and other information to insure the safe operation of goods sold. SSE will not be responsible for any loss or injury resulting from defects or alleged defects in the goods sold or from the subsequent use of the items.
  14. SSE shall not be liable to Purchaser/Customer, its agents or its employees, for any loss or damage whatsoever (including injury or death) caused by an act or omission to act on the part of SSE, its agents or employees. Likewise, SSE shall not be liable to Purchaser/Customer or to any third party for any injury or death caused by the equipment which SSE has supplied to Purchaser/Customer but which is no longer in SSE's direct control.
